Phase 1 — Week 1-2

Discovery

Before we configure anything, we need to understand your deal, your investors, your counsel's requirements, and your BD's compliance process. This phase produces the implementation scope document that governs the rest of the engagement.

What happens:
  • Deal structure review (securities type, SPV, regulatory pathway)
  • Investor profile mapping (accreditation requirements, jurisdiction restrictions, expected volume)
  • Counsel coordination (PPM review, subscription agreement alignment)
  • BD workflow mapping (suitability process, compliance clearing, reporting requirements)
  • Platform configuration specification
Phase 2 — Week 3-6

Build

The infrastructure gets configured for your specific deal. Compliance rules encoded at the smart contract level. Investor portal branded and deployed. KYC/AML workflow integrated. Cap table structure built to match your SPV and offering terms.

What we build:
  • Smart contract deployment with compliance rules (jurisdiction restrictions, accreditation gates, transfer controls, holding periods)
  • Investor portal: branded subscription page, document vault, investor dashboard
  • KYC/AML workflow integration with third-party verification providers
  • Cap table structure mirroring your SPV ownership and distribution terms

Phase 3 — Week 7-8

Test

Before anything goes live, we run the full investor journey end to end. Simulated subscriptions, KYC processing, compliance rule testing, distribution calculations, transfer scenarios. Your counsel reviews the flow. Your BD confirms the compliance interface. Nothing launches until every stakeholder signs off.

What we test:
  • Full subscription flow (investor registration through to token issuance)
  • KYC/AML verification and accreditation confirmation
  • Compliance rule enforcement (jurisdiction blocks, transfer restrictions, holding period locks)
  • Distribution calculation and payment processing
  • BD reporting and audit trail generation
  • Edge cases: failed KYC, partial subscriptions, transfer attempts during lock-up
Phase 4 — Week 9+

Launch

Platform goes live. First real investors subscribe. We are on-call through the initial subscription period to handle any issues in real time. This is not a handoff. We stay with you through the critical first weeks of live operations.

  • Issue resolution and platform adjustments as needed
